Ziele, Inhalte und Methode der Lehrveranstaltung

The student will achieve knowledge on typical problems of executive compensation and corporate governance. She/he will read sciencific literature on the subject assigned to her/him and write a paper on the topic. During seminar sessions, the student will present her/his paper and discussion about the findings of her/his and other participants’ papers.
Contents: Theories of Executive Compensation; Executive Pay Levels; Executive Compensation Instruments; Executive Compensation Regulation; Executive Compensation and Effort Incentives; Executive Compensation and Risk Incentives; The Role of Board Independence; The Role of Say on Pay and Proxy Advisors; The Role of Accounting Regulations; The Role of the Managerial Labour Market; The Role of Compensation Consultants; The Role of Public Pressure
Method: Scientific writing of papers, presentations, interactive group discussions

Presentation and classroom participation 40%

The course grading is based on the seminar thesis, its presentation in the seminar sessions, and active participation in discussions.

Excellent (sehr gut, 1), good (gut, 2), satisfactory (befriedigend, 3), sufficient (ausreichend, 4), insufficient (ungenügend, 5).

Mindestanforderungen und Beurteilungsmaßstab

Successful participation requires students to complete a paper of acceptable quality on the topic assigned to her/him, and to make an acceptable presentation of the own topic in class.
